In order to create company Estonia, a memorandum of association must be concluded and the articles of association approved. The founding treaties are concluded by the founders. If there is only one founder, he makes the founding decision. The memorandum and articles of association must be notarised.

When establishing a private limited company in the so-called accelerated procedure, it is possible to use standard documents that are available in the information system of the commercial register. In this case, the standard articles of association replace the notarial memorandum and the articles of association approved as an annex thereto.

The members of the board must be appointed. The notarised consents of all members of the management board regarding being a member of the management board must be attached to the application for entry of the private limited company in the commercial register. If a private limited company is established in an expedited procedure, the members of the supervisory board and the auditor shall also have their digitally signed consent to be a member or auditor of the supervisory board.

An application for entry of a private limited company in the commercial register shall be accompanied by a notice of the bank or payment institution regarding the financial contribution to the share capital or, in the case of a non-monetary contribution, the agreement to transfer the contribution to the private limited company and documents certifying its value.
